Terms of Service
1. Acceptance of Terms
By downloading, installing, or using the Pane application ("App"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and 2dx3 LLC ("Company," "we," "us," or "our"). If you do not agree to these Terms, you must discontinue use of the App immediately.
2. Description of the App
Pane is an iOS application that enables users to write a single piece of text and display it as a home screen widget. The App is a personal utility and does not provide cloud services, social features, or networked functionality.
3. Eligibility
The App is available to any individual who can access the Apple App Store. No age restriction beyond Apple's App Store policies applies, as the App does not collect personal data.
4. License
Subject to your compliance with these Terms, 2dx3 LLC grants you a limited, non-exclusive, non-transferable, revocable license to use Pane solely for personal, non-commercial purposes. You may not copy, modify, distribute, reverse-engineer, decompile, disassemble, or create derivative works of the App, in whole or in part. This license is subject to Apple's standard Licensed Application End User License Agreement ("EULA") to the extent applicable.
5. Purchases and Payments
Pane is available as a one-time purchase of $2.99 USD through the Apple App Store. No subscription fees or in-app purchases are currently offered. All payment processing is handled exclusively by Apple pursuant to Apple's terms and conditions. Refund requests must be directed to Apple in accordance with Apple's App Store refund policy; the Company has no authority to process refunds.
6. User Content
All text you write in Pane is stored exclusively on your device. The Company does not access, view, collect, or transmit your note content at any time. You retain full ownership of all content you create within the App.
7. Prohibited Uses
You agree not to: (a) reverse-engineer, decompile, or disassemble the App; or (b) use the App for any unlawful purpose or in violation of any applicable law or regulation.
8. Intellectual Property
The App, including its name, design, icon, brand identity, and all associated assets, is the exclusive property of 2dx3 LLC and is protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership or intellectual property rights to you.
9. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE APP WILL OPERATE WITHOUT INTERRUPTION OR ERROR. Widget display functionality is dependent on iOS system behavior outside the Company's control and is not guaranteed.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 2DX3 LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, REGARDLESS OF THE THEORY OF LIABILITY. THE COMPANY'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE APP ($2.99 USD).
11. Termination
The Company reserves the right to terminate or suspend your access to the App at any time, with or without cause and without notice. You may discontinue use of the App at any time by deleting it from your device.
12. Changes to These Terms
The Company may modify these Terms at any time. Changes will be posted at usepane.app/terms with an updated effective date. Continued use of the App following the posting of updated Terms constitutes acceptance of those changes.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the State of Delaware.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
